It is a financial engineering experiment. The SPAC—Special Purpose Acquisition Company—acts as a shell. It raises money from public investors. Then it merges with a target. In this case, the target is EvernorthXRP, an entity with no disclosed business operations. The only hook is the price of XRP. The shares are issued based on that price. This is unprecedented. Context matters. XRP itself is a payment settlement token. It faces an ongoing SEC lawsuit over whether it is a security. The Ripple network processes cross-border payments.
